The establishment of a trading company is a legal step which leads to the origin of a new legal entity. Legal theory differentiates so-called personal commercial companies, which are public commercial companies and a limited partnership company, and so-called capital companies, which are a limited liability company and a joint-stock company. Capital companies can be established also for any commercial purpose so long as it is not specifically forbidden by law.
The basic differences between the above-mentioned groups of commercial companies consists above all in the method of warranty of partners for the liabilities of the company, in the binding (or non-binding) origin of the company for the existence of basic capital, in the structure of the company bodies as well as the arrangement of the possibilities of company partners to act on behalf of the company. The founder of a trading company may be a legal entity or a natural person.
